Introduction

Flexicode is a Germany- and Switzerland-based IT services provider focused on the IFS ecosystem. The Company supports its clients with digital transformation through ERP implementation, cloud migration, managed services and complementary proprietary software solutions. With a strong reputation, deep industry know-how and a loyal customer base, Flexicode has established itself as a trusted partner for mid-sized clients in production and service industries.

Flexicode is pursuing an international buy-and-build strategy and is seeking a hands-on Head of M&A to lead, shape, and execute the company’s M&A strategy.

KEY RESPONSIBILITIES:

As Head of M&A you will be responsible for the end-to-end execution of M&A transactions – spanning deal sourcing, due diligence, negotiation and integration, and work closely with Flexicode management and external parties to identify, approach and assess potential targets.

The candidate would be part of the leadership team where he/she can work autonomously with the common goal of building a leading European pure-play IFS partner platform.

M&A Strategy Development and Execution:

  • Execute M&A strategy in alignment with Flexicode’s goals and growth strategy
  • Identify acquisition targets, cultivate relationships, build and maintain a strong acquisition pipeline
  • Collaborate closely with C-level management and investors to ensure strategic fit and value creation

Deal Sourcing and Origination:

  • Actively engage with intermediaries, brokers, and other relevant parties to source quality acquisition opportunities

Due Diligence and Financial Analysis:

  • Lead and coordinate entire due diligence process across financial, legal, operational, and commercial functions
  • Financial analysis and modelling, including valuation, financing scenarios, impact on overall group
  • Ensure due diligence findings are translated into actionable integration plans

Deal Structuring and Negotiation:

  • Negotiations on key deal terms, pricing, and other transaction documentation together with legal, financial, and tax advisors

Deal Integration (PMI):

  • Develop the overall strategy and roadmap for integrating business units, systems, and teams after an acquisition in alignment with the CEO and CFO

Your profile

KEY QUALIFICATIONS:

Experience:

  • Degree in Business Administration, Finance, Economics, or a related field; an advanced degree (e.g., MBA, CFA, CPA) is a plus
  • 5+ years of experience in M&A, corporate development- ideally in a PE-backed portfolio company, or investment banking
  • Proven track record of leading or supporting multiple M&A transactions from origination through execution and integration

COMPETENCIES: Analytical Acumen:

  • Ability to analyse complex business situations & financials
  • Understand how commercial and financial considerations translate into deal execution and contracts

Communication and leadership:

  • Ability to relate to “other side” in negotiation situations while maintaining Flexicode’s interests at the forefront
  • Guide cross-functional teams through deal-execution process, communicate requirements to the team pursuing an acquisitions opportunity

Team-player:

  • Integrate well within ambitious team and jointly pursue common goals
  • Be respectful, lead by example. Solution-oriented teamwork

Self-starter:

  • Structured and independent way of working, willingness to perform and take responsibility, flexibility and resilience. “Rolling-up-the-sleeves”-mentality
